Job Description:
In the interest of clients, develop and maintain ongoing dialogue and relationships with financial institutions including commercial banks, commercial finance companies, specialty finance companies, investment banks, insurance companies, funds and venture capital groups in the multi-unit restaurant and service based franchise business. Specifically: Advise in the development and formulation of merger, acquisition, divestiture and diversification strategies; Perform valuation analysis and identify valuation ranges; Identify potential buyers or acquisition targets; Prepare marketing memorandum used to market the transaction to identified prospects; Negotiate and structure deal terms; Generate letter of intent; Arrange financing for buy side transactions which may involve debt, sale-leaseback, mezzanine and equity financing. Perform financial modeling and due diligence; Review Purchase/Sell Agreement; Develop and maintain relationships communication and interaction with clients, funding sources as well as stakeholders in various clients business (lenders, vendors, landlords and franchiser).
